Designer Trade Program Agreement
For Qualified Design Professionals
This Designer Trade Program Agreement ("Agreement") is entered into between Caribe Home ("Company") and the undersigned design professional ("Designer"). By signing below, Designer agrees to the following terms.
1. Eligibility
Designer must be a licensed interior designer, architect, or other qualified design professional acting in a professional capacity. Designer must provide at least one of the following upon request:
- Business license or resale certificate
- Professional website, portfolio, or social media account (Instagram, Pinterest, Houzz, etc.)
- EIN or business tax ID (W-9 required)
- Business card
2. Trade Benefits
Qualified Designers are eligible for the following benefits:
- 10% commission on qualifying client purchases (excluding taxes, delivery, and fees)
- Commission earned only on fully completed and delivered sales
- Payments issued within 30 days of fulfillment
- Designer must be listed on the order at time of placement
- Caribe Home may verify Designer's involvement prior to releasing payment
- No commission on personal purchases unless separately agreed in writing
- Up to 30% off MSRP on qualifying furniture manufacturers
- Up to 10% off MSRP on accessories (including umbrellas)
- Applies to client projects only; personal purchases excluded unless agreed in writing
Additional Program Benefits
- Early access to new collections and limited-quantity items
- Fabric swatches and finish samples available upon request
- Invitations to showroom previews and private events
- Dedicated support for order coordination and lead times
3. Terms of Use
- Benefits are for professional use and active client projects only.
- All purchases are subject to Caribe Home's standard sales terms.
- Benefits are non-transferable and may not be shared with third parties.
- Misuse or misrepresentation may result in immediate revocation without notice.
- Caribe Home reserves the right to audit program usage at its discretion.
4. Ordering, Payment & Delivery
- All orders must be placed through a Caribe Home representative. Full payment required in advance. Accepted methods: credit card, ACH, wire transfer.
- Freight, delivery, and assembly fees quoted separately.
- No storage facilities. Uncollected merchandise transferred to third-party at Designer's expense.
- Caribe Home is not liable for third-party storage or delivery losses.
5. Tax Exemption
Submit a valid resale certificate prior to order placement. Sales tax applies to all orders without a valid certificate on file.
6. Intellectual Property
- Product materials may only be used for client proposals or mood boards.
- Social sharing must credit "@caribe.home" or "Caribe Home."
- No ownership interest in Caribe Home's IP is granted.
7. Confidentiality
Trade pricing, discounts, and commission structures are confidential and may not be shared with third parties.
8. Modification of Terms
Caribe Home may modify or terminate this Agreement at any time. Designers will be notified by email.
9. Limitation of Liability
Caribe Home is not liable for indirect, incidental, or consequential damages. All orders subject to Caribe Home's standard return and cancellation policy.
10. Governing Law & Dispute Resolution
Governed by Florida state law. Disputes subject to exclusive jurisdiction of courts in Palm Beach County, Florida.
11. Entire Agreement
This Agreement supersedes all prior understandings regarding the Designer Trade Program.
